Palarena Terms of Use — Players
1. Purpose
These terms govern access to the Palarena site and application by players.
Information about the publisher appears in the legal notice. The service is hereinafter referred to as “Palarena”.
Palarena makes it possible, in particular, to create an account, view clubs and their availability, book a service sold by a Club, manage one’s participations, track one’s payments and, where the feature is offered, create or join a sports activity open to other players.
2. Role of Palarena and role of the Clubs
The Club identified before payment is the seller and the provider of the sports activity. It determines its offer, its prices, its availability, its rules and its cancellation policy.
Palarena provides the digital service of intermediation, booking and technical orchestration of payment. Palarena does not operate the Club’s facilities and does not provide the sports activity in its place.
The booking is governed by the Club’s terms of sale displayed before payment and kept with the confirmation. These Terms of Use govern only the use of Palarena’s own services. Passes and memberships sold by a Club are subject to its specific terms; they do not constitute a subscription of the player to Palarena.
At the launch of this version, Palarena charges the player no service fee. Activities may be free or paid depending on the Club’s offer.
3. Account creation and security
The account is personal. The user provides an email address to which they have access, an accurate first name or display name and the other mandatory information indicated. The last name, where it is offered, remains optional unless a particular need is announced.
The user verifies their email address and protects their means of access. They promptly inform Palarena of any suspicious access. They must not create an account under the identity of a third party, transfer their account or circumvent a suspension.
Palarena is reserved for adults, who are at least 18 years old and have the capacity to contract. By creating an account, the user declares that they meet this condition. Palarena may request a supporting document in case of doubt. A minor may take part in an activity booked by an adult who holds an account, under the responsibility of their legal representative and under the Club’s terms.
4. Profile and visibility
Your sports profile can be viewed by signed-in users: first name, last name where provided, username, chosen photo, sports, levels and playing statistics. Contact details and banking information are not public fields of the profile. An activity’s settings determine the other information necessary for its participants.
A match invitation link may show the display names and avatars of the participants to anyone who has it, even without an account. Do not publish it if you wish to limit this disclosure. A so-called private booking is therefore not a promise of anonymity for the people invited.
The visibility of a registration for an event is different: what is shown is limited for visitors who are not signed in and may be further restricted for a sanctioned tournament. The license number and contact details are not published in the list of registrants. The interface must explain the relevant visibility before registration.
Do not add confidential data to your display name, photograph or description. You may request the rectification of information and exercise your rights at contact@palarena.com in accordance with the privacy policy. The existence of a sports profile does not constitute consent to marketing or a general authorization to reuse your data.
5. Bookings and payments
Before paying, the user checks the selling Club, the facility, the slot, the duration, the total price including all taxes and the cancellation policy.
Online payment is carried out with Stripe Connect. Depending on the order, payment is immediate or deferred. A payment method may be prepared before the bank authorizes the amount; the authorization to charge for this order and the optional saving of the card for future purchases are separate. The summary indicates the schedule and any cancellation penalties. The booking is confirmed only when Palarena indicates so in the application and sends an electronic confirmation.
Cards and other payment methods are processed by Stripe; Palarena does not receive the full card number.
Cancellations, refunds, lateness and absences are governed by the terms locked in for the booking. A difficulty relating to the activity is addressed to the Club. A technical difficulty with payment or with access to Palarena is addressed to Palarena support.
6. Public activities and participants
A public activity may allow players to join the same booking separately. Before creating or joining, the application indicates the selling Club, the individual price, the number of participants, the viability deadline, the withdrawal rules and the consequences of an automatic cancellation.
The user provides accurate information, respects the level or conditions announced and does not use a public activity to solicit, harass, discriminate or collect other people’s data.
An invitation link gives access to information about the activity, in particular the display names and avatars of the participants. Anyone who has the link can access the information it makes visible, even without an account: share it only with the intended recipients. It does not give general access to the participants’ financial data. An invitation sent to a person without an account does not automatically create a public account. The history of an invited participant can be attached to an account only after the corresponding email address has been verified.
7. Prohibited conduct and content
It is prohibited:
- to impersonate someone or to mislead others about one’s authorization;
- to publish content that is illegal, threatening, hateful, discriminatory, sexual and unsolicited or harmful to a minor;
- to harass a player, a Club or a member of support;
- to disclose a third party’s contact details or data without the right to do so;
- to commit payment fraud, circumvent a restriction or disrupt the service;
- to extract the data in bulk or to use unauthorized automated means;
- to use Palarena for unauthorized marketing.
The user retains their rights in the content they publish. They grant Palarena, for the time necessary to make the service available, a non-exclusive, worldwide and royalty-free license to host, technically reproduce, resize and display this content in Palarena. This license does not authorize independent advertising use.
8. Reporting and moderation
Any suspicious content or conduct can be reported under the reporting and appeal procedure. In case of immediate danger, contact the emergency services first; this channel is not an emergency service.
Palarena may limit the visibility of content, remove it, restrict a feature, suspend or close an account where a measure is necessary in light of the law, the rights of others, security or these Terms of Use. The measure is proportionate to the facts and takes into account their seriousness, their repetition and the risks.
Except in the case of a legal prohibition or a security imperative, Palarena informs the user of the reason for the decision and of the internal appeal available at contact@palarena.com.
9. Availability and changes to the service
Palarena uses reasonable means to ensure the availability and security of the service. Interruptions may be necessary for maintenance, security or an incident.
Palarena may change the features. A substantial change to these Terms of Use is notified on a durable medium before it comes into force, with an appropriate lead time. Where the change requires a new acceptance or a consent, the feature concerned is not used without that action.
10. Liability
Palarena is liable for its own obligations relating to the digital service. It is not liable for the acts of the Club, the condition of the facilities, the coaching or the performance of the service sold by the Club, without prejudice to its liability where damage results directly from its own fault.
The user remains responsible for their conduct, for the accuracy of the information they provide and for compliance with safety instructions. They assess their own fitness to play and inform the Club of any constraint where this is necessary for their safety.
No clause limits a right or a liability that cannot lawfully be excluded, in particular in the event of bodily injury, willful misconduct (dol), gross negligence (faute lourde) or breach of an essential obligation.
11. Personal data and trackers
Data processing is described in the privacy policy. This policy is information and not a contract to be accepted.
Trackers and third-party services that are not strictly necessary are activated only after the required choice. The way to change tracker choices is indicated in the privacy policy and their inventory. Withdrawing a consent must remain as simple as obtaining it.
12. Term, closure and deletion of the account
These Terms of Use apply while the account is in use. The user may request its closure at contact@palarena.com, without having to give a reason. Any identity checks are proportionate.
Closure ends future features, without deleting the data that Palarena or the Clubs must keep in order to perform a current booking, respond to a dispute or comply with a legal obligation. The profile is no longer shown as active once the closure has taken effect.
Palarena may close an account for serious or repeated breach, fraud, security risk or legal obligation, under the procedure of Article 8. Bookings and refunds already under way continue to be processed where they must be. Closing the Palarena account does not automatically amount to termination of or withdrawal from a Club pass: the current commitments and the corresponding procedure are indicated before closure, without preventing the exercise of data rights.
13. Complaints and mediation
A complaint concerning Palarena is addressed to contact@palarena.com.
Before the commercial launch, the contact details of the designated mediator will be published in the legal notice. After a prior written complaint that has not been satisfactorily resolved, the consumer will be able to refer the matter to the mediator free of charge.
For the sports service, the competent mediator is that of the selling Club indicated in its confirmation.
14. Governing law
These Terms of Use are governed by French law, without depriving a consumer of the more protective mandatory provisions of their country of residence. Any dispute falls within the jurisdiction of the courts determined by the legal rules; no exclusive jurisdiction is imposed on the consumer.
15. Sports scores and community information
Where the feature is offered, participants may declare a result, confirm or contest a score under the rules displayed for the match. A calculated sports level remains an estimate that is useful for play; it does not constitute an official certification, a guarantee of ability or an assessment of a player’s creditworthiness. Errors can be reported to contact@palarena.com. Content and results must comply with the rules of Article 7.
16. Rights attached to the digital service
The fact that Palarena is free for the player does not set aside their mandatory rights. Where the legal conditions for applying the guarantee for digital content and digital services are met, Palarena is liable for conformity during the period of continuous supply, provides the required updates and handles requests for bringing into conformity free of charge and without undue delay. Legal remedies, in particular a price reduction where a price has been paid or rescission (résolution) in the cases provided for by law, remain available. A change to the service cannot remove these protections. The detailed terms required for the scope actually marketed are provided before any commitment.
Funding of the service
The Palarena service is funded by the Clubs’ software subscriptions. Player accounts and booking features contribute to the usefulness of this software for the Clubs and to its commercial development. The player pays no Palarena subscription; any sums paid to a Club pay for that Club’s services. Palarena does not sell players’ personal data. The purposes of the processing and the choices relating to commercial communications are described in Article 11 and in the privacy policy. The fact that the account is free does not, on its own, authorize commercial use of the data.
Annex — Legal guarantees for the digital service supplied continuously
The identity and contact details of the trader liable for the guarantees of the Palarena service will be specified in the legal notice before the commercial launch. Requests may be sent to contact@palarena.com, describing the difficulty encountered. For a sports service or a pass sold by a Club, requests relating to that service are addressed to the selling Club, without prejudice to Palarena’s own obligations.
Legal guarantees
The consumer is entitled to the implementation of the legal guarantee of conformity (garantie légale de conformité) if a lack of conformity appears during a period corresponding to the entire contractual period of continuous supply of the service defined in Article 12, starting from the supply of the digital content or digital service. During this period, the consumer is required to establish only the existence of the lack of conformity and not the date on which it appeared.
The legal guarantee of conformity entails an obligation to provide all the updates necessary to maintain the conformity of the digital content or digital service throughout the entire contractual period of continuous supply of the service defined in Article 12.
The legal guarantee of conformity entitles the consumer to have the digital content or digital service brought into conformity without undue delay following the consumer’s request, free of charge and without significant inconvenience to the consumer.
The consumer may obtain a price reduction while keeping the digital content or digital service, or may terminate the contract by obtaining a full refund in exchange for giving up the digital content or digital service, if:
1° The trader refuses to bring the digital content or digital service into conformity;
2° The bringing into conformity of the digital content or digital service is unduly delayed;
3° The digital content or digital service cannot be brought into conformity without costs being imposed on the consumer;
4° Bringing the digital content or digital service into conformity causes significant inconvenience to the consumer;
5° The non-conformity of the digital content or digital service persists despite the trader’s unsuccessful attempt to bring it into conformity.
The consumer is also entitled to a price reduction or to rescission of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or rescission of the contract. The consumer is then not required to first request that the digital content or digital service be brought into conformity.
Where the lack of conformity is minor, the consumer is entitled to cancellation of the contract only if the contract does not provide for the payment of a price.
Any period during which the digital content or digital service is unavailable in order to be brought back into conformity suspends the remaining period of the guarantee until the digital content or digital service is supplied in conformity again.
These rights result from the application of Articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code (code de la consommation).
A trader who obstructs in bad faith the implementation of the legal guarantee of conformity is liable to a civil fine of up to 300,000 euros, which may be increased to up to 10% of average annual turnover (Article L. 242-18-1 of the French Consumer Code).
The consumer also benefits from the legal guarantee against hidden defects (garantie légale des vices cachés) under Articles 1641 to 1649 of the French Civil Code (code civil), for a period of two years from the discovery of the defect. This guarantee gives the right to a price reduction if the digital content or digital service is kept, or to a full refund in exchange for giving up the digital content or digital service.
Since the price of the Palarena player account is zero, the references to a reduction or refund of a price do not create a price to be paid. This clarification does not limit the other remedies provided for by law, in particular bringing into conformity and rescission of the contract.
